Jay B. Stolkin

Biography

As a member of the Corporate Department and the Business, Acquisitions and Securities group, Jay focuses his practice on mergers and acquisitions, public and private securities and an assortment of general corporate matters, including drafting and negotiating commercial contracts.

Jay has extensive transactional experience working with clients of all sizes. His experiences range from representing technology start-ups through formation and financing to working with Fortune 500 companies engaged in billion dollar transactions and public debt offerings. Jay has also guided clients through international business transactions and the regulatory issues incident thereto.

While his experiences span a breadth of industries, including technology, financial services, and sports, Jay has worked with numerous clients in the beer, wine & spirits space. He has facilitated private offerings for early-stage breweries, structured multi-million dollar acquisitions of alcoholic beverage distributors, and negotiated distribution agreements for wholesalers and suppliers in a number of states.

Jay’s experiences also include multiple secondments to a financial services client, where he worked directly with the general counsel and various business teams to draft and negotiate, licensing, consulting and domestic and international distribution agreements. When working with clients, Jay draws on this experience to understand the internal and external pressures clients face to efficiently resolve problems and achieve results.

Prior to joining Dinsmore, Jay served as a judicial extern for U.S. District Court Judge Jane Magnus-Stinson in the Southern District of Indiana and U.S. Magistrate Judge Stephanie K. Bowman in the Southern District of Ohio. He also served as a law clerk for the National Collegiate Athletic Association.

In law school, Jay was a Securities Regulations teaching assistant and a production editor for the Illinois Journal of Law, Technology & Policy. Prior to law school, he served as a campaign manager for a successful Cincinnati City Council campaign, a community outreach coordinator for a member of the U.S. House of Representatives, and a contributing reporter for several publications, both at home and abroad.
