Harvey Jay Cohen’s extensive experience in International Business Law has given him unique practical insights into cross border transactions. Cohen, a partner at Dinsmore & Shohl for 27 years, shares his thoughts and best practices in the new ABA Publishing book, “Transactions Without Borders: A Client and Lawyer's Guide to Overseas Operations." The book is designed to provide significant value to readers, whether they have a legal background or not. In particular, business executives involved in international operations will gain a greater understanding of their attorney’s role in the process. Author David Steiger said Cohen’s contributions were essential because of his depth and breadth of experience.

“The book is a step by step guide on how to set up and implement an overseas operation, and Harvey is quoted throughout the book because of his expansive knowledge in a variety of practice areas,” said Steiger. “I’m fortunate to have a resource who can share practical applications he has learned firsthand.”

Featured in nine chapters of the book, Cohen discusses common problems that arise, how to determine appropriate roles for In-House and Outside Counsel, establishing a target destination and vendor partners, negotiating and writing contracts, business plan implementation and dispute resolution. He also contributed practice forms that constitute the appendix of the book.

“It is gratifying to provide helpful practical material to David’s book, as well as a number of agreements, checklists and certificates that may mitigate risk,” remarked Cohen. “The typical reader should gain much insight, and the read should be well worth the time and effort.”

Cohen serves as Vice Chair of the IBA’s Closely Held and Growing Business Enterprises Committee and is also a member of the IBA’s Bar Issues Commission and the IBA Council, which serves as the member governing body of the IBA. The IBA is the world’s leading organization of international legal practitioners, counting more than 50,000 attorneys and 200 bar associations among its members.

At Dinsmore, Cohen practices corporate law encompassing nearly every facet of domestic and international business. He routinely represents outbound U.S. businesses and inbound non-U.S.-owned entities.
