Manage Contract and General Service Agreement Process for Furniture Distributor

Client: RCF Group
Protecting the Process

Companies in the middle of a supply chain often find themselves caught in a balancing act, having to weigh both their clients’ immediate needs and the contractual obligations that guide their business. As a full- service provider of comprehensive solutions, RCF Group works to overcome those challenges and mitigate risk, not only through preparation and due diligence, but also by establishing a clear vision of their role in each project they undertake. To that end, RCF Group partners with Dinsmore, relying on us to help them define their role and keep their business moving forward.

Working with suppliers and clients, RCF Group faces the pressure of not only providing quality service and products, but also safeguarding their position, should problems arise. Our team works extensively with RCF Group in managing their contract and supply agreement process, handling everything from providing comprehensive review and analysis to negotiating terms and standardizing language. Although RCF Group often finds itself subject to agreements and contracts drafted externally, our attorneys come to the negotiating table with a thorough understanding of their objectives and operations and work to ensure our client’s interests and assets are protected throughout the process and beyond.

In addition to managing contracts drafted externally, our team also has constructed a general services agreement template. This template not only serves as a foundation that can be tailored for future agreements and contracts, but also serves to expedite the agreement process enabling them to grow their business without exposing themselves to additional risks.

Part of growing their business has entailed tackling unique business ventures, including establishing an agreement with the Cincinnati Parks Department for “Urban Timber,” a program that enables RCF Group to utilize wood from trees that have been removed from public or private properties. The wood is repurposed into usable lumber for various projects, including furniture for public schools. Our attorneys worked closely with parks’ officials to negotiate and draft the agreement, resulting in a positive program for the community.

Dinsmore’s work with RCF Group has enabled them to effectively manage and improve their contract and agreement process, resulting in a more efficient model and less exposure. By learning the culture of RCF Group, we’ve not only steered them through unique risks, but we’ve helped to strengthen their position within the supply chain and become a trusted partner in their success.
