Dinsmore & Shohl LLP is presenting a CLE seminar on Friday, December 2, 2022, that will be offered in a hybrid format, including in-person attendance in Cincinnati, Ohio, and nationwide virtual attendance through a hosted and moderated online platform. The seminar, if approved, will include credit for Professional Conduct (2.5 hours of professional conduct, including 1.0 hour of diversity & inclusion credit, where applicable) addressing lawyer professional responsibility in service areas prohibited by law and how women in the legal profession have overcome challenges to build lasting careers.  Additionally, the seminar will include general credit (4.0 hours) with presentations on (1) employment law trends in the post-pandemic area of “quiet quitting;” (2) legal critiques of mass incarceration, and the need to end extreme sentencing in the U.S.  – presented by the Ohio Justice & Policy Center; (3) legal challenges in telehealth, and Crypto-101, including an overview of Blockchain technology, digital currency, and how to navigate this rapidly changing legal landscape.

Professional Conduct:
When to Say No! Cantankerous Clients, Marijuana & the Courts

(1 - hour professional conduct credit)

This one-hour ethics presentation focuses on the professional responsibility rules that apply when a client wants a lawyer to perform services that might be prohibited by law. Using the example of lawyers practicing in the cannabis law realm, where federal law prohibits activity that is both lawful and proper in many states, the scope of the attorney-client relationship will be carefully examined within the context of Rule 1.2 of the Rules of Professional Responsibility, a provision that exists in almost every American jurisdiction. This session will then expand the discussion to spotlight recent well-publicized lawyer disciplinary proceedings where lawyers challenged the results of the 2020 national election

Diversity, & Inclusion:  Women in the Law – Overcoming Challenges to Build Lasting Legal Careers

Statistics show that although women enter the profession in equal or greater numbers to men, a process of attrition occurs – oftentimes at the height of a woman’s career.  Women leaving law increased substantially due to the impact of COVID-19 and its strain on working mothers and their families. Mass Incarceration and the Case for Ending Extreme Sentencing

David A. Singleton, Director of the Ohio Justice and Policy Center, will discuss the history of mass incarceration in the United States, the impact it has had on people of color, and the need for sentencing reform and additional legal mechanisms to free over-punished people who have rehabilitated themselves and can safely reside in the community. Mr. Singleton will also propose novel legal theories for release under state law. Mr. Singleton is the Executive Director of the Ohio Justice & Policy Center and is also a Professor of Law at NKU Chase College of Law. .

Telehealth is exploding. Regulations and technology are changing rapidly, and the COVID-19 public health emergency led to a number of flexibilities—some temporary and some permanent. Panelists outline the risk management considerations related to the use of telehealth technology, provide an overview of the current regulatory scheme, and describe the opportunities for the use of telehealth in health systems going forward.

Guest Speaker Profiles


James J. Grogan

James J. Grogan is an Illinois lawyer and educator who concentrates his practice in professional responsibility and lawyer ethics law. Mr. Grogan received an undergraduate degree from Lewis University in 1977 and his J.D. degree from the Loyola University of Chicago School of Law in 1980. He retired in 2019 as the Deputy Administrator and the Chief Counsel of the Attorney Registration and Disciplinary Commission of the Supreme Court of Illinois (ARDC) where, for almost 40 years, he investigated and prosecuted hundreds of charges of lawyer misconduct and argued dozens of disciplinary cases in the Supreme Court of Illinois. Mr. Grogan is a Past President of the National Organization of Bar Counsel (NOBC), the bar association of lawyer regulators. For over 35 years he has taught legal ethics, first at the DePaul University College of Law and then at the Loyola University of Chicago School of Law, where he is an Adjunct Professor. Over the course of his career, he has presented over twelve hundred speeches, lectures, and workshops to law firms, bar associations, corporations, and judicial and governmental groups and agencies on various lawyer regulation topics. He has also served as an ethics consultant and an expert witness regarding a variety of lawyer regulatory concerns.


David Singleton

David Singleton received his J.D., cum laude, from Harvard Law School in 1991, and his A.B. in Economics and Public Policy, cum laude, from Duke University in 1987. Upon graduation from law school, David received a Skadden Fellowship to work at the Legal Action Center for the Homeless in New York City, where he practiced for three years. He then worked as a public defender for seven years, first with the Neighborhood Defender Service of Harlem and then with the Public Defender Service for the District of Columbia. After moving to Cincinnati in the summer of 2001, David practiced at Thompson Hine before joining OJPC as its Executive Director in July 2002. David is also a Professor of Law at Northern Kentucky University’s Salmon P. Chase College of Law.


Caroline Pieroni

Caroline Pieroni, Senior Counsel in Humana Inc.’s law department, serves as general counsel for a wholly owned subsidiary of Humana called Humana Government Business, also known as Humana Military. Humana Military is the Managed Care Support Contractor for the TRICARE Program in the East Region, providing healthcare benefits to military members in roughly half of the United States. She sits on Humana Military’s Executive Council and works collaboratively with the organization’s leaders to identify and prevent legal issues before they arise, assess risk, protect privacy, and educate employees and partners about legal and ethical parameters. She also serves on various committees within Humana’s Legal Department, including its diversity committee.

Prior to joining Humana, Caroline was a partner at Dinsmore & Shohl, a national law firm with more than 700 lawyers. During her decade in private practice, Caroline served as outside counsel to Humana and various other businesses in Kentucky and Indiana. Her work focused on commercial and employment litigation, arbitration, and general business counseling.

Caroline was formerly a business and investigative reporter for various newspapers, including The Courier-Journal in Louisville, Kentucky. After law school, she clerked for a federal judge in the Western District of Kentucky, Hon. John G. Heyburn II. She received her B.A. in Journalism from Western Kentucky University and her J.D. from the University of Louisville’s Brandeis School of Law. She is passionate about healthcare, law, increasing diversity in the legal profession, journalism, swimming, and her family.


Stephanie Stella

Prior to joining Microsoft, Stephanie was a member of Wolf Greenfield's Trademark & Copyright and Litigation Groups, Stephanie focused her practice on IP litigation, trademark and copyright prosecution and enforcement, clearance opinions, licensing, due diligence, and USPTO proceedings. She represented domestic and international clients in complex patent, copyright and trademark matters at the district and state court and appellate levels. Stephanie has defended generic drug companies in Hatch-Waxman litigation, and prepared opinions on pharmaceutical patents. Stephanie also has significant experience prosecuting patent applications before the USPTO in optical, electrical, electromechanical, semiconductor, medical device, software and mechanical technologies, and conducting post-grant proceedings.

Prior to joining Wolf Greenfield, Stephanie was an associate at Eversheds Sutherland in Atlanta, where her practice focused on patent, copyright and trademark litigation, and CBM reviews. Stephanie also worked as an associate at an IP boutique in Alexandria, Virginia, focusing on patent and trademark litigation, prosecution and counseling.

Stephanie has extensive experience as a sales engineer. Prior to practicing law, she worked for Applikon Biotechnology, where she configured and sold laboratory and manufacturing scale bioreactor and fermenters. She also worked for Nortel Networks, where she designed networking hardware solutions for Internet service providers. Stephanie is a member of the bars of Georgia and Virginia. She is the former Editor in Chief of IDEA: The Intellectual Property Law Review. Stephanie earned her law degree from UNH School of Law (fka Franklin Pierce Law Center) after earning a bachelor of science degree in Industrial and Systems Engineering and a Sales Engineering Certificate from the University of Florida. Stephanie also earned a certificate in comparative studies in intellectual property law during a summer abroad at Tsinghua University School of Law in Beijing, China.


Sara Suleiman

Sara Suleiman serves as in-house counsel for HP Inc., advising on trademark, marketing, and advertising issues. Prior to going in-house, Sara was an associate at Dinsmore & Shohl’s Intellectual Property Department. In her ten years of practice, Sara has focused on US and international trademark clearance, prosecution, and enforcement, as well as advertising and claims review. She also has significant experience advising on promotions such as sweepstakes, contests, and lotteries, as well as drafting related agreements. Sara holds an undergraduate degree in Political Science and Journalism from Northwestern University and a J.D. from DePaul University College of Law. She also serves as the Vice-President of the Muslim Bar Association of Chicago.


Sarah Persinger

Sarah is a healthcare attorney and registered pharmacist with extensive knowledge of pharmacy and healthcare legal and regulatory affairs. She is currently the vice president and general counsel at Teladoc Health Medical Group, a publicly traded healthcare technology company, where she advises medical group leadership and staff on the corporate practice of medicine considerations, the corporate structure of the medical group, medical staff issues, and employment and contracting concerns. She also assists with regulatory enrollments and provides litigation support, clinical and legal guidance, and support for clinical products. Prior to Teladoc, she was an adjunct professor of Pharmaceutical Regulation and Healthcare Finance at Ohio Northern University. Sarah was also an associate in the Health Law Practice Group at Dinsmore, where she provided counsel and representation for a wide array of healthcare clients, with a focus on regulatory compliance and complex transactions. During her free time, she volunteers as an attorney at the Legal Aid Society of Columbus.


Kiley Clark

Kiley Clark is a Senior Consultant in Ethics and Compliance at Cardinal Health where she focuses on workplace investigations.  She holds a J.D. from the University of Pittsburgh School of Law and a B.B.A. from Ohio University.  Kiley has acted as inhouse counsel and an employee relations leader for Fortune 500 companies where she provided legal guidance and management for labor relations, employment law, eDiscovery, information governance and litigation.


Christy Ferko

Christy Ferko serves as Senior Counsel for Steel Technologies LLC, a steel and aluminum processor based out of Louisville, Kentucky with 30+ facilities throughout North America. She joined Steel Tech in 2013 as a Legal Intern, and upon graduating from Louisville’s Brandeis School of Law in 2014, accepted the role of Corporate Counsel where she oversaw Contact negotiation and disputes, International trade, Environmental, and Compliance matters for the Company. In 2022 she moved into the role of Senior Counsel and has added Insurance work to her areas of practice. Christy is a long-time advocate for Boys and Girls Haven of Louisville, a Foster Care Services agency, joining their Advisory Board in 2011 and Board of Trustees in 2021, and serves on U of L’s Law Alumni Council, most recently as President from 2021-2022.  In her free time, Christy enjoys travel and equine sporting events with her husband, Winfield, and son, Wick.


David Hise

David Hise is Chief Operating Officer, Capitalis Planning Partners, a wealth management firm affiliated with Northwestern Mutual. At Capitalis, he is responsible for overseeing day-to-day operations as well as leading all strategic initiatives.  He manages human resources, finance and operations.

David previously worked at Limestone Bank where he was Senior Vice President, Chief Operating Officer and Corporate Secretary.  He managed all bank operations including loan, deposit, and retail operations; information technology and data systems; and facilities. He also led the execution of their 2019 acquisition. 

Prior to joining the bank, he served as a compliance officer and legal counsel for River Road Asset Management.  He started his career in private practice in Louisville, KY, focusing on business litigation.

He graduated from the University of Kentucky College of Law and Centre College.


Bonnie O’Neil

Bonnie O’Neil is Managing Counsel at Nationwide Mutual Insurance Company.  Since 2002, she has been with Nationwide’s Office of the Chief Legal Officer Litigation and Employment Department as part of the Employment Practice Group.  Bonnie manages the legal team that provides support to the Human Resources department of Nationwide and handles the company’s employment litigation.  Prior to her current role, Bonnie practiced for 14 years at Thompson Hine, where she was an associate and then partner.  Bonnie received her B.A. in Political Science, summa cum laude, from Bowling Green State University, and her J.D. from The Ohio State University Moritz College of Law, where she graduated summa cum laude in 1987.
