$30,000,000 Lease Agreement by and between Huntington Public Capital Corporation and City of Covington, Kentucky

Served as bond counsel on this private placement lease financing which financed the acquisition of and improvements to the former Internal Revenue Service Center property and provided a grant for the purpose of paying costs of the construction of a parking facility located at the site of a project known as the “John R. Green Lofts Project.”

We served as bond counsel on this public university forward delivery general receipts refunding bond issue. This bond issue refinanced numerous outstanding general receipts debts and certificate of participation debts of the University.

We served as bond counsel on this public university general receipts financing. The projects financed with the issuance include the renovation of existing housing and parking facilities on the campus of the University.

$70,000,000 Sanitation District No. 1 Sanitation District Revenue Bonds, Series 2021A (Campbell, Kenton and Boone Counties, Kentucky) and $11,525,000 Sanitation District No. 1 Sanitation District Revenue Bonds, Series 2021B

Served as bond counsel on these utility revenue bonds, the proceeds of which were used to finance the construction, installation and equipping of improvements to the District’s sanitation sewer system and to refinance outstanding obligations of the District.

Served as special counsel to Berea College, a private undergraduate college organized and operated as a Kentucky nonprofit corporation, to complete Due Diligence and other duties related to the issuance, the proceeds of which were used to finance a variety of on-campus capital improvements.

$10,000,000 Campbellsville-Taylor Economic Development Authority Industrial Building Revenue Bonds (Campbellsville University, Inc. Project), Series 2022

We served as bond counsel on this conduit financing for a private university using the local development authority as issuer of the bonds. The projects financed with the issuance include construction of a new campus Administrative Enterprise Resource Planning (ERP) System and various other capital improvements on the main campus of Campbellsville University.

$100,000,000 National Finance Authority Hospital Facilities Revenue Bonds, Series 2021 (Saint Elizabeth Medical Center, Inc.)

We served as bond counsel on the conduit financing working with the National Finance Authority to issue both taxable and tax-exempt bonds for Saint Elizabeth Medical Center Inc. The projects financed with the issuance include expansion of the Florence (Kentucky) Surgery Center, expansion of the Edgewood (Kentucky) Outpatient Surgery Center, and construction of the Dearborn County (Indiana) Canter Center.
