Michael S. Jackson


Michael’s ingratiating style, combined with more than 30 years experience as an attorney, make him a go-to for clients. He has extensive experience representing public entities in all phases of municipal finance as bond and underwriter’s counsel.

Included in his experience are municipal, state and private financings in which he acted as co-bond counsel and underwriter’s counsel on municipal revenue bond offerings, as well as having served as lender’s counsel for secured loan transactions.

He has supervised the expansion of a non-profit headquarters through $10 million bond financing; represented a state government lending agency in the preparation, negotiation and closing of over $5 million of debt financing to minority business; and acted as co-bond counsel for the City of Philadelphia bond offerings totaling over $500 million.

Michael has participated in numerous bond transactions inside and outside the Commonwealth of Pennsylvania, and his experience with state and local governmental entities has involved transactions that included specialized financing mechanisms, from commercial paper transactions to special tax revenue funds.

Prior to joining the firm, he was the sole outside general counsel for Powell Steel Corporation. In addition to his public finance practice, he represented real estate developers in the acquisition of commercial and residential properties, including handling zoning issues; negotiation of acquisition agreements; drafting and reviewing of financing documents and handling title and settlement matters.

While in private practice, he also provided legal counsel to closely-held companies, small businesses and not-for-profit organizations regarding the establishment, implementation and management of risk-management and corporate compliance policies in such areas as employment practices, labor relations, business ethics, federal and state minority certification regulations, and public and private financing for product and/or company acquisitions.
