    • Assess and determine loan structures that align with SBA requirements.
    • Evaluate eligibility criteria for prospective borrowers.
  4. Transactional Document Review:
    • Review Purchase/Sale Agreements, Leases, Stock Purchase Agreements, and other transactional documents.
    • Ensure compliance with SBA Standard Operating Procedures (SOP).
  5. Due Diligence Management:
    • Oversee and review due diligence processes, encompassing leases, construction documents, franchise agreements, and related matters.
    • Ensure all necessary documentation is accurate and in compliance with SBA standards.
  6. Title Insurance and Negotiations:
    • Order, negotiate, and review title insurance to safeguard the interests of all parties involved.
  7. Legal Searches:
    • Conduct Uniform Commercial Code, judgment lien, and bankruptcy searches to assess potential risks.
  8. Collateral Lien Perfection and Enforcements:
    • Execute collateral lien perfection activities to secure loans.
    • Manage and enforce collateral liens when necessary.
  9. Settlement Statement Preparation and Closing Facilitation:
    • Prepare settlement statements accurately and efficiently.
    • Facilitate smooth and organized loan closings.
  10. Client Management:
    • Cultivate and maintain strong relationships with clients.
    • Provide exceptional customer service and address client inquiries effectively.

A license to practice in Pennsylvania, Indiana, Kentucky, Michigan, Ohio, or West Virginia is required. Dinsmore is seeking a Legal Administrative Assistant at our San Diego, CA location or remote in Seattle, WA who will support multiple attorneys/paralegals in connection with Intellectual Property/Patent Prosecution work.  

Responsibilities

  • Preparing and electronically filing patent applications, amendments, appeals, assignments and other documents related to prosecution.
  • Docket management; client communication; billing; formatting, proofreading, and editing of contracts, spreadsheets, and other reports and transaction-related documents; and other legal support functions.

Requirements

  • Excellent writing, grammar, proofreading skills, and meticulous attention to detail
  • Excellent word processing skills and intermediate-level use of Microsoft Office Suite, .pdf editing software, and related legal software, including electronic document management systems. iManage/FileSite and Anaqua a plus
  • Familiarity with basic online resources
  • Possess strong organizational and time management skills, and ability to multi-task
  • Proven success as a positive team player, as well as an independent worker
  • Ability to excel in a fast-paced environment
  • Solid work history including 3-5 years supporting multiple attorneys/paralegals
  • Experience in patent prosecution and transactional work
  • Experience with the U.S. Patent and Trademark Office, including PAIR and EFS
  • Overall knowledge and understanding of domestic and foreign procurement process for patents and trademarks
  • Ability to review and communicate docket to attorneys/paralegals, and effectively report to several professionals

Salary:  Up to 90k
