Represented a Lessor in Commercial Lease Transactions

Client: Rosenstein Development

We represented Rosenstein Development (as Owner/Lessor) in several commercial lease transactions, including those with Walgreen’s, Rally’s, Jason’s Deli and Sears. 

Represented the Lessee/Purchaser In Negotiations Over a Manufacturing Site

We represented the lessee in the negotiations of the lease of a 15-acre manufacturing site in Kentucky, and then represented that client through the closing when it exercised its option to purchase the property.

Project Counsel for Multi-Use Development Site

Client: Riverport Landings

We served as project counsel for a large mixed use development that included commercial space, a public park, and more than 400 units of affordable housing for children aging out of foster care, single-parent college students, families, and senior citizens. Working with two firm clients, LDG Development, LLC and the Marian Group, we obtained expedited rezoning of the site and negotiated a development agreement with Louisville Metro for the contribution of city and state funds to aid in the creation of the affordable housing units. We also helped structure and close on the financing needed for the overall development.

Counseled a Rehabilitation Service During Lease Negotiations

Client: Southeast Kentucky Rehabilitation Industries, Inc.

We represented Southeast Kentucky Rehabilitation Industries, Inc. (as Lessee) in the negotiations of a lease to a warehouse/manufacturing facility in Pineville, Kentucky. 

Represented the Design Builder of a Medical Office Clinic

Served as project counsel to a design-builder for the development of a medical office clinic location for The Mayfield Clinic in Green Township, Ohio.  Representation included performing due diligence activities, evaluating and resolving title issues, obtaining title insurance through Mercantile Title Agency (Dinsmore’s wholly owned title agency), structuring and closing on the property acquisition, negotiating cross access and utility easement agreements, negotiating a build to suit lease agreement, negotiating construction financing and obtaining governmental approvals.

Project Counsel During Re-purposing of Elementary School

Client: Parkland Scholar House

We served as land use counsel for the Family Scholar House project that adaptively reused the historic Parkland Elementary School, turning it into housing with community facilities for single-parent college students. We worked with Marian Development Group and Louisville Metro to expedite the rezoning process, reducing the review process to less than 100 days from filing to signed ordinance.

Acquisition, Leasing, Financing and Development of Shopping Center

Dinsmore & Shohl represented Jeffrey R. Anderson Real Estate, Inc. with respect to the acquisition, development, leasing and financing of The Shops at Pembroke Gardens, in Broward County, Florida.

Development Counsel for Regional Bus/Coach Company

We served as development counsel to a regional bus/coach company working to obtain rezoning and entitlements needed to relocate an expanded headquarters and dispatch facility. The new location was directly adjacent to a neighborhood, necessitating a protracted negotiation of buffering standards and site design.

Sale of mixed use/residential condo/retail development

We represented a multi-generational family trust in connection with the sale of a 205-guest room mixed-use hotel-residential condo-retail development and convention center complex in downtown Morgantown, WV. Our representation included the negotiation and preparation of LOI and subsequent sale and ancillary documents; coordination of due diligence; analysis and resolution of complex issues regarding correlative rights and obligations of hotel and residential condominium units above the hotel. We also handled the negotiations with the City of Morgantown and documentation regarding the assignment of the convention center rights, easements and rights-of-way relating to the entire development; negotiations with adjacent property owners and documentation regarding assignment of crucial parking rights and rights associated with plant equipment; identification and resolution of title issues; and coordination of post-closing obligations.

Acquisition, Leasing, Financing and Development of Shopping Center

Dinsmore & Shohl represented Jeffrey R. Anderson Real Estate, Inc. with respect to the acquisition, site development, leasing and financing of the Shops at West End in the City of St. Louis Park, Minnesota.

Dinsmore & Shohl represented a multi-state developer with respect to Tax Increment Funding ("TIF") eligibility for funding a public parking garage

Dinsmore & Shohl represented a national pharmaceutical company in obtaining a grant from the State of Ohio to increase production capabilities relating to the pharmaceutical industry.  We also represented this client in obtaining a grant from the State of Ohio for technology research and product innovation relating to the pharmaceutical industry.

Served as Project Counsel During Redevelopment of Historic Cotton Mill

Client: Bradford Mills Lofts

Working with a firm client, the Marian Group, we served as project counsel for the redevelopment of the former Bradford Mills in the Germantown neighborhood of Louisville. The redevelopment turned a semi-active warehouse into 144 loft apartments and commercial space on approximately 2.4 acres. 

City

Successfully prosecuted multiple property annexations for City in front of County Commissioners, including appeal to Court of Common Pleas.

Title Insurance Defense

We defend mortgage lenders on behalf of a national title insurance company. Often times these representations occur in the context of personal bankruptcies -- the bankruptcy trustee will seek to avoid the mortgage lender's mortgage based on an error in the execution or recording of the mortgage. In one such case, we defended a mortgage that was recorded in the wrong county. We quickly negotiated a settlement with the trustee that prevented the filing of an adversary proceeding and saved on costs. The settlement also permitted the mortgage lender to record its mortgage in the correct county and completely resolved the title defect.

Sale of Real Estate

Represented seller in the sale of former 4 acre manufacturing site, including a 150,000 square foot manufacturing building located adjacent to Huntington Park in the Nationwide Arena District.

Property Acquisitions

Represented a nursing care provider in the acquisition of 2.6 acres of real property in Reynoldsburg, Ohio for the development of an independent care facility and expansion of current facilities.

Represented a local school board in the acquisition of a $1,300,000 property for its school expansion.
Represented a nursing care provider in the acquisition of 5.2336 acres of real property and the construction of a $5,800,000 skilled nursing home located in Washington C.H., Ohio.

Property Tax Exemption

Represented a local non-profit corporation that was paying property taxes for a recently acquired parking lot. We prepared an application for property tax exemption, which was approved less than one month after filing it with the Board of Tax Appeals.

Title Insurance Defense

Represented a national insurance company in defense of a claim that property was not properly vested in the insured’s name. We reviewed the chain of title and discovered numerous title defects. We then filed a quiet title action, which was resolved pursuant to an agreed order. The title issues were resolved with the recording of four quit claim deeds, the agreed order, and an affidavit of facts from the insured. We resolved this matter within a few months of filing the complaint. The insured now has good title to his property, and the insurance company did not pay out on the claim other than legal fees.

Property Acquisition and Bond Financing

Represented a regional healthcare provider in the acquisition and bond financing of nine (9) intermediate care facilities located in Cuyahoga County in the amount of $4,800,000.
