The Franchise & Distribution Practice Group consists of experienced attorneys who routinely advise new and established franchising companies (public and private) on the preparation of their franchise disclosure documents and state registrations, as well as a host of other legal issues affecting the development, preservation and growth of their franchise and distribution businesses. The group combines the talents of attorneys experienced in franchise and distribution law with other attorneys specifically experienced in the areas of corporate and tax law, trademark and copyright, antitrust law, litigation, employment law matters and commercial real estate development.
The group's litigation attorneys have mediated, arbitrated and litigated franchise and distribution disputes and related claims in state and federal courts throughout the United States. Those efforts have included the successful defense of RICO, fraud, antitrust, contract and class certification claims against franchisors and the successful enforcement of non-compete covenants on behalf of franchisors.
We have experience working with franchisors and franchisees in a variety of industries, including nationally-known retailers, automotive companies, food service providers and hospitality companies, handling everything from the preparation of franchise and distribution documents to structuring client-specific franchise, distributorship, joint venture, licensing and other arrangements. Additionally, we also have guided clients through the legal issues arising from market expansion and market contraction, as well as the structuring and implementation of system-wide initiatives involving purchasing, marketing, risk management, brand re-imaging and franchisee inclusion and relationship issues. Utilizing their understanding of the marketplace, our team also provides general business counseling to perspective franchisors and franchisees on feasibility and financing strategies.
